1. Program Overview

The FutureNova Health Test Flight Program ("Test Flight" or "Program") is a limited promotional engagement offering qualified organizations a no-cost initial work phase, including strategy development and creative concepting, as defined in these Terms and Conditions. Participation in Test Flight does not constitute a guarantee of work commencing, a promise of specific outcomes, or an ongoing commitment by FutureNova Health.

 

Test Flight is available on a limited basis and may be modified, paused, or discontinued at any time at the sole discretion of FutureNova Health.



2. Eligibility and Acceptance

Acceptance into the Test Flight Program is subject to qualification review and is not guaranteed. FutureNova Health reserves the right to decline any applicant for any reason without explanation. Submission of an application or completion of the qualification process does not constitute acceptance into the Program.

 

By participating in Test Flight, the Client confirms that:

They have the authority to enter into this agreement on behalf of their organization.
All information provided during the qualification process is accurate and complete.
They have reviewed and agree to all terms outlined in this document prior to work commencing.


3. The Mission Plan

Work under the Test Flight Program does not begin until a Mission Plan has been mutually agreed upon and countersigned by both FutureNova Health and the Client ("Mission Plan" or "Signed Mission Plan").

 

Prior to kickoff (KO), FutureNova Health will provide the Client with:

A Mission Plan outlining the scope of the free work phase.
A quote showing the estimated cost of the finalization and production phase, separate from the free work.

The Client must execute (countersign) the Mission Plan within 3 weeks of receipt. Failure to execute within this window will result in the offer expiring. FutureNova Health is under no obligation to extend or reissue an expired Mission Plan.



4. Scope of Free Work

The Test Flight free work phase is structured across two checkpoints as defined below. All deliverables within the free phase are creative comps and strategic documents only. No production, final asset creation, AI generation, live photography, CG rendering, or any form of final output is included in the free phase.

Checkpoint 1: Strategy

Delivery of a strategy document based on the agreed scope in the Mission Plan.
One (1) round of revisions to the strategy based on Client feedback.
Revised strategy feeds directly into Checkpoint 2.

Checkpoint 2: Creative Concepts

Delivery of four (4) creative concept comps for Client review.
Client selects two (2) concepts to move forward.
One (1) round of revisions applied to the two selected concepts.
Client selects one (1) concept for final comp refinement.
Final production-ready comp delivered. This comp reflects minor tweaks only and remains at comp stage. No production work is included.

Any work requested beyond the defined scope above is not included in the free phase and will be quoted and billed separately.



5. Out-of-Pocket Costs

Out-of-pocket (OOP) costs are not included in the free work phase under any circumstances. OOP costs include but are not limited to media spend, stock photography or video licensing, software licensing, printing, shipping, third-party vendor fees, and any other direct costs incurred on behalf of the Client.

 

Any anticipated OOP costs will be estimated and presented to the Client for written approval prior to any spend being incurred. The Client is solely responsible for all approved OOP costs.

 


6. Timeline Requirements

The following timeline requirements apply to all Test Flight engagements:

The Mission Plan must be countersigned by the Client within 3 weeks of receipt or the offer expires.
The full free work phase must be completed within 8 weeks of the kickoff date as established in the Mission Plan.
FutureNova Health reserves the right to pause or terminate the engagement if the Client is unresponsive, fails to provide feedback within agreed review windows, or otherwise delays progress beyond reasonable timelines.

Delays caused by the Client that extend the engagement beyond the 8-week window do not obligate FutureNova Health to continue or complete the free work phase.

 


7. Intellectual Property and Usage Rights

All work product developed during the Test Flight engagement, including but not limited to strategy documents, creative concepts, comps, frameworks, positioning, and any related materials (collectively, "Work Product"), remains the exclusive intellectual property of FutureNova Health until a paid finalization agreement is fully executed by both parties.

Use, present externally, or publish any Work Product in any form.
Brief, share, or transmit any Work Product to any third party, including other agencies, vendors, contractors, or consultants.
Reproduce, adapt, or build upon any Work Product for internal or external purposes.
Use the strategy, creative direction, or any element of the Work Product to brief another agency or vendor for production or execution.

Internal review of Work Product by Client team members directly involved in the engagement does not constitute a breach of these terms, provided no external sharing or use occurs.


Receipt, review, or acknowledgment of any deliverable constitutes the Client's agreement to these intellectual property terms.



8. Checkpoint Exit Rights

At the conclusion of each checkpoint, the Client has the right to exit the Test Flight engagement at no cost. If the Client chooses to exit:

No further work will be performed by FutureNova Health.
All Work Product reverts exclusively to FutureNova Health and may not be used, referenced, or shared in any form by the Client.
The Client acknowledges that no license, right, or permission to use any Work Product has been granted.

Exit at any checkpoint does not grant the Client any rights to the Work Product developed prior to exit.

 


9. Finalization and Production Phase

If the Client wishes to proceed beyond the free work phase and utilize any Work Product, the Client must execute a separate paid finalization and production agreement with FutureNova Health ("Paid Agreement").

 

The Paid Agreement will cover the production, finalization, and execution of the Work Product, including but not limited to CG rendering, AI generation, live photography, motion graphics, and any other production method required to bring the comp to finished output.

 

The quote provided prior to KO represents an estimate of finalization and production costs. Final pricing will be confirmed in the Paid Agreement. The pre-KO quote is valid for 30 days from the date of issue. Quotes may be revised based on scope changes requested by the Client.

 

Work Product is only licensed to the Client upon full execution of the Paid Agreement and receipt of the agreed deposit or payment as outlined therein.


 

10. Program Availability and Modification

Test Flight is a limited-time promotional program. FutureNova Health reserves the right to:

Discontinue the Test Flight Program at any time without notice.
Modify the terms, scope, or structure of the Program at any time.
Limit the number of concurrent Test Flight engagements at its sole discretion.
Decline to extend, renew, or reissue any expired offer.

Participation in one Test Flight engagement does not guarantee access to future promotional programs or preferential pricing.



11. No Guarantee of Results

FutureNova Health does not guarantee any specific outcome, result, performance metric, or commercial result from participation in the Test Flight Program or from any Work Product delivered. All strategy and creative work is developed in good faith based on information provided by the Client and FutureNova Health's professional judgment.


 

12. Confidentiality

Both parties agree to treat all information shared during the Test Flight engagement as confidential. FutureNova Health will not share Client-provided materials, data, or business information with third parties without written consent. The Client agrees to the same standard with respect to FutureNova Health's Work Product, methodologies, and proprietary processes.


 

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from this agreement shall be resolved in the courts of Saratoga County.


 

14. Entire Agreement

These Terms and Conditions, together with the executed Mission Plan, constitute the entire agreement between FutureNova Health and the Client with respect to the Test Flight Program and supersede all prior discussions, representations, or agreements. No modification to these terms is valid unless made in writing and signed by both parties.


 

15. Acknowledgment and Agreement

Both parties ust confirm they have read, understood, and agree to these Terms and Conditions.
